Oil and Gas:
Oil and gas exploration and production matters including, but not limited to, examination of abstracts, runsheets and documents, and prior title opinions to prepare original, drillsite, division order, and supplemental title opinions on properties within the State of Texas, and Texas offshore properties; consultation with contract landmen in their efforts to cure requirements contained in title opinions prepared for clients, and reviewing such materials; preparation of Oil, Gas and Mineral Leases, and amendments for both Lessees and Lessors; preparation of numerous oil and gas contracts and agreements including industry exploration and development contracts, joint operating agreements, farmouts, farmins, royalty stipulations of interest, Master Service Agreements for well servicing; preparation of drilling proposals and related matters; settlement of disputes with landowners regarding staking locations for drilling, surface damages, restraining order relief, and ingress and egress problems; oil and gas bankruptcy related matters including credit committee advisory capacity; and conduct of due diligence studies for purchases of producing properties.Real Estate:
Closings, landlord/tenant relations, lease negotiation(s); collection actions and forcible detainer actions; mortgage lending work including preparation and/or negotiation of notes, deeds of trust, loan agreements, and other security documents; commercial real estate lease negotiations between landlords and tenants; initiation and assistance in litigation for landlord collection efforts and forcible detainer actions; documentation of workouts between landlords and tenants; preparation and review of closing documents for real estate closings, and attend closings with clients.
General Business:
Preparation of purchase and sale agreements for buying and selling business entities, and assistance in due diligence associated therewith; preparation of last will and testaments and various trusts; banking matters in preparation of loan documents and documentation to secure such loans; preparation of Confidential Private Placement Memorandums; preparation of various types of business employment and confidentiality agreements for multiple industries; formation of various business entities such as corporations, limited liability companies, partnerships (general, limited, and limited liability); negotiation and documentation for the purchase and sale of jet aircraft.
